"CODESPHERE", "we", "us" or "our" refers to the company that provides the Services. By accessing or using the Services you agree to be bound by these Terms.

2.1 Eligibility
You must be of legal age to form a binding contract with CODESPHERE and not barred from using the Services under applicable law.

3. Services
CODESPHERE provides gateway services, API endpoints, developer tooling, dashboards, and hosting related to payments, integrations, monitoring and other digital infrastructure. Specific Service terms, SLAs, quotas, and pricing are described in your order, subscription, or developer documentation.
3.1 Acceptable Integrations
You are responsible for how you integrate our APIs and services, including handling of credentials, keys, and webhooks. You must not embed secrets in client-side code, and you must follow best security practices described in our docs.
4. Accounts & Access
Accounts are for single organizations and the person who registers is responsible for all activity. You may grant access to your team members using roles and permissions where available.
4.1 Credentials
Keep API keys and passwords confidential. If you suspect a compromise, rotate keys and notify support immediately.
5. Acceptable Use
When using the Services you agree not to:
- Violate laws or third-party rights.
- Attempt to disrupt or degrade the Services.
- Reverse-engineer protected elements of the Services without permission.
- Use the Services to transmit malware, spam, or other harmful content.
6. Payments & Billing
Paid Services are billed according to the plan you select. Fees are non-refundable except as required by law or specific refund policies published by CODESPHERE.
6.1 Taxes
You are responsible for any taxes associated with purchases of Services, except for taxes based on CODESPHERE's income.
7. Intellectual Property
CODESPHERE and its licensors retain all rights, title and interest in the Services, software, trademarks, logos and documentation. You are granted a limited, non-exclusive license to use the Services as described in these Terms and any applicable documentation.
7.1 Your Content
You retain ownership of the data and content you submit to the Services. By submitting content you grant CODESPHERE a license to host and process that content as necessary to provide the Services.
8. Privacy & Data Protection
Our Privacy Policy explains how we collect and use personal data. By using the Services you consent to our collection and use of data as set forth in the Privacy Policy.
9. Disclaimers & Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODESPHERE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
IN NO EVENT SHALL CODESPHERE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR USE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CODESPHERE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless CODESPHERE, its affiliates, officers and employees from any claim arising out of your use of the Services or violation of these Terms, except to the extent caused by CODESPHERE's gross negligence or willful misconduct.
12. Termination
We may suspend or terminate access to the Services if you breach these Terms, or where required by law. Certain provisions (e.g., indemnity, limitation of liability, intellectual property) will survive termination.
13. Changes to Terms
We may modify these Terms from time to time. If changes are material, we will provide notice (e.g., email or dashboard notice) prior to the change taking effect. Continued use after such notice constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the jurisdiction stated in your order or, if not stated, by the laws of the Republic of Kenya without regard to choice of law principles. Any disputes will be resolved in the competent courts located there, unless otherwise agreed in writing.
